CelcomDigi Bhd and Maxis Bhd each advanced another RM202 million in interest-free shareholder funds to Digital Nasional Bhd (DNB) to cover upfront spectrum fees and working capital, the telcos said in separate Bursa Malaysia filings.

The injections are part of a shareholders’ agreement that already includes Minister of Finance (Incorporated), YTL Power International Bhd, Maxis and DNB. The advances carry one vote per ringgit advanced, are not repayable on demand, and sit alongside existing shareholder funding arrangements.

CelcomDigi said DNB will use the money for “upfront spectrum fees as part of the spectrum acceptance and to meet working capital requirements.” After this latest RM202 million, CelcomDigi’s total shareholder advances to DNB rise to RM551.9 million, up from RM349.9 million.

Assuming equal contributions from CelcomDigi, Maxis and YTL Power, each party would hold an effective 22.94% stake in DNB once share capital and advances are counted. The Minister of Finance (Incorporated) remains outside the equity base after exercising a prior put option.

Both operators said the additional funding is not expected to materially affect their earnings, net assets or gearing for the financial year ending 2026.
